Benefitting Charity: Memphis Brand, Inc. ("Charity") Donations made in connection with this Sweepstakes are funded to Charities Aid Foundation of America (“CAFA”). CAFA is a U.S.-based, IRS-recognized, public charity whose mission is to make donating to international and domestic causes streamlined, safe and easy for U.S. donors. Should the Charity qualify as an eligible recipient of a CAFA grant, at the end of the Sweepstakes, CAFA will make a grant to the Charity as long as the Charity continues to qualify as an eligible recipient of CAFA grants.

This Sweepstakes is only open to legal residents of the fifty (50) United States or District of Columbia who are at least the age of majority in their jurisdiction of legal residence (typically eighteen (18) years of age in most jurisdictions) at the time of entry. If you donate: $15 USD you will receive ten (10) entries; $35 USD you will receive forty (40) entries; and $50 USD, you will receive one hundred twenty five (125) entries. Entrants will receive an email confirmation at the email address provided on the Sweepstakes Website. All donations are final and non-refundable.

Free entries that do not clearly provide all of the above-listed information will be deemed ineligible (as determined in Sponsor's sole discretion). There is no limit to the number of free entries submitted by an email address, but each video submitted must be unique and in a separate email message with all of the required information. Duplicate videos will automatically void the entry. All email entries must be received by 11:59 p.m. CT on November 30, 2020. Sponsor is not responsible for late, lost, or damaged entries, or technical issues that otherwise might prevent Sponsor's receipt of any free entries. Confirmation of receipt emails will not be sent.

Each successfully submitted email entry is worth 10 entries in the Sweepstakes (which corresponds to the same number of entries received for a $15 donation).

There is no limit to the number of entries any one person may have.

Odds of Winning: The odds of winning a Prize depend on the total number of eligible entries received during the Sweepstakes Entry Period. There is no limit to the number of entries the Sponsor may receive.

WINNER SELECTION:

Early Bird Prize:

On or about November 13, 2020, Sponsor will randomly select one (1) Early Bird Prize Winner from the entire pool of valid entries received before 11:59 PM CT November 12, 2020, subject to the conditions and Winner Verification requirements provided in these Supplemental Rules and the Official Rules. The Winner of the Early Bird Prize will be subject to the all rules of eligibility, verification, confirmation and any and all other conditions to which the as described in these Supplemental rules and the Official Rules including, but not limited to, the Prize Conditions, Publicity and Liability Releases described herein. The Winner of the Early Bird Prize will still be included in the drawing for the Sweepstakes Grand Prize.

Grand Prize:

On or about December 1, 2020, Sponsor will randomly select one (1) Grand Prize winner from the entire pool of valid enties received during the Sweepstakes Entry Period. Subject to the conditions and Winner Verification requirements provided in these Supplemental Rules and the Official Rules, the Grand Prize Winner shall be declared the winner of the Sweepstakes and win the Grand Prize. The Winner of the Grand Prize will be subject to the all rules of eligibility, verification, confirmation and any and all other conditions to which the as described in these Supplemental rules and the Official Rules including, but not limited to, the Prize Conditions, Publicity and Liability Releases described herein. WINNER VERIFICATION:

This Winner Verification process applies to all Prizes awarded in this Sweepstakes. Once a potential Winner is selected and successfully notified, Sponsor shall verify potential Winner’s eligibility to win the Prize and compliance with the terms and conditions of the Official Rules. The Potential Winner will be required to provide proof of age through government-issued identification to confirm age of majority in Potential Winner’s jurisdiction. The Potential Winner will be required to complete and return an Affidavit of Eligibility, Release of Liability and/or Publicity Release (where permitted by law) in the form(s) provided by Sponsor (collectively, the “Affidavit”) by the date/time specified by Sponsor, or such Potential Winner will be disqualified and an alternate Potential Winner may be selected. Potential Winner will be declared a Prize Winner when all the conditions of the Official Rules, the Supplemental Rules are fulfilled to the satisfaction of the Sponsor in its sole discretion. If a potential Winner cannot be reached (regardless of reason), does not respond within the designated time (if required), or there is a return of any Prize/Prize notification as undeliverable, he/she may be disqualified. See the Official Rules for more details. Upon disqualification, no further compensation will be given. Failure to comply with any term or condition in these Supplement Rules or the Official Rules may result in disqualification at Sponsor’s sole discretion. In the event that a Potential Winner is disqualified for any reason, an alternate Potential Winner may be selected from the remaining valid entries in connection with the winner selection method above. PRIZE CONDITIONS:

Prize is not transferable. Prize must be claimed as a whole and Prize substitution, in whole or in part, will not be allowed except in Sponsor’s sole discretion. See Official Rules for details. All expenses and costs associated with the acceptance or use of the Prize that are not expressly specified in these Supplemental Rules as being part of the Prize are the sole responsibility of the Winner. TAXES:

All taxes at the federal, state, or local level in connection with the acceptance of a Prize will be the sole responsibility of the Winner. Winner will be issued a Form 1099 where required. RELEASE OF LIABILITY:

By participating in the Sweepstakes, each entrant agrees to the full extent allowed by applicable law to: (a) comply with and be bound by the Official Rules, these Supplemental rules, and the decisions of Sponsor, which are binding and final in all matters relating to the Sweepstakes; (b) defend, indemnify, release and hold harmless the Sponsor, the Charity, Prize Provider, CAFA, and their respective parent, subsidiary, and affiliates and affiliated companies, celebrities, partners and any other person and organization responsible for sponsoring, fulfilling, administering, advertising or promoting the Sweepstakes, and all of their respective past and present officers, directors, employees, agents, attorneys and representatives, and their successors and assigns (collectively, the “Released Parties”) from and against any and all claims, expenses, and liability, including but not limited to negligence and damages of any kind to persons and property, including but not limited to invasion of privacy, defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright or other intellectual property rights, property damage, or death or personal injury arising out of or relating to an entrant’s entry, creation of an entry or submission of an entry, participation in the Sweepstakes, travel, lodging, acceptance, possession, attendance at, defect in, delivery of, inability to use, use or misuse of Sweepstakes Prize, or any portion thereof (including any travel or activity related thereto) and/or the broadcast, exploitation or use of entry; and (c) waive any right to claim ambiguity in the Sweepstakes or these Official Rules and/or any supplemental rules. Released Parties are not responsible if the Sweepstakes Prize, or any portion thereof, is delayed, postponed or cancelled for any reason, in which event that portion of the prize is forfeited in its entirety and no substitution will be provided except at the Sponsor’s sole discretion. PUBLICITY RELEASE:

Except where prohibited or restricted by law, a Winner’s acceptance of a Prize, or any portion thereof, constitutes the the Winner’s agreement, permission and consent for Sponsor, the Charity, Prize Provider, any other Released Parties, and any of their designees to use and/or publish the Winner’s, city and state of residence, photographs or other likenesses, pictures, portraits, video, voice, testimonials, and/or statements made by the Winner regarding the Sweepstakes or otherwise, worldwide and in perpetuity for any and all purposes, including, but not limited to, advertising, publicity, trade and/or promotion on behalf of Sponsor or the Charity, in any and all forms of media, now known or hereafter devised, including, but not limited to, print, TV, radio, electronic, cable, or World Wide Web, without further limitation, restriction, compensation, notice, review, or approval. All trademarks used are the property of their respective owner(s) and are used for prize description purposes only. In order to participate in the Sweepstakes, entrants will be required to supply certain information about themselves on the Sweepstakes entry pages. Sponsor has specified on the Sweepstakes Website which information is mandatory in order to participate in the Sweepstakes. This information will be used by Sponsor for the purposes of administering the Sweepstakes, and may be shared with the Charity where you have consented to do so. The personal information collected in order to administer the Sweepstakes will be processed and used in accordance with Sponsor’s Privacy Policy.
